QINO UG (HAFTUNGSBESCHRÄNKT)
Terms and conditions for business customers
Last updated: 6 October 2026
1. Scope
These terms are intended for transactions by Qino UG (haftungsbeschränkt) with business customers (section 14 BGB), public-law entities and public-law special funds. They do not apply to consumers. Individual agreements take priority.
2. Offers and contract formation
The enquiry assistant is not an ordering facility. A contract requires an accepted offer or order confirmation. A binding offer remains open for four weeks unless the offer specifies another period.
3. Scope of supply and services
Agreed specifications and the confirmed scope of supply are decisive. Installation, commissioning, planning and maintenance are included only if expressly agreed. Technical website examples are not standalone guarantees.
4. Delivery dates and impediments
Non-binding dates are estimates; binding deadlines are agreed separately. For impediments beyond its responsibility, Qino informs the customer of the cause and expected duration. Adjustments or termination follow the agreement and legal requirements.
5. Delivery and transfer of risk
The offer defines the delivery location and shipping terms. Unless otherwise agreed, goods are made available in Neusäß; delivery from the manufacturer's premises requires agreement. Transfer of risk and any acceptance follow the applicable law and contract.
6. Prices and payment
Agreed business-customer prices exclude any legally payable VAT. Shipping, duties and additional services are stated in the offer. Unless otherwise agreed, payment is due within ten days of the invoice date. Default is subject to the statutory conditions.
7. Retention of title
Delivered movable goods remain Qino's property until the purchase price under the relevant contract has been paid in full. Statutory requirements for withdrawal and recovery remain unaffected.
8. Defect rights
Statutory defect rights apply. Where the purchase is a commercial transaction for both parties, section 377 HGB inspection and notification duties must be observed. Remedial performance follows the statutory rules; these terms do not exclude claims generally.
9. Liability
Qino is liable under applicable law. These terms contain no blanket exclusion of liability and do not restrict mandatory claims, particularly for personal injury or under product liability law.
10. Additional costs and usage rights
Additional work, travel and accommodation costs require agreement. Usage rights in plans, software and other work results are specified in the order; third-party rights remain unaffected.
11. Governing law and jurisdiction
German law is to be agreed where permitted. Augsburg may be agreed as the place of jurisdiction for merchants and other legally permitted cases. Mandatory jurisdiction rules remain unaffected.
Information for private customers
These business-customer terms do not apply to private customers. Consumer contracts require separate consideration of statutory information duties and any cancellation rights. This website does not provide online contract formation.
